Affiliate Agreement

This Affiliate Agreement is made and entered into on the date of acceptance by the Affiliate and is by and between BME, the owner of the event ticketing system located at event.thebmegroup.com, and the individual or entity applying to participate as an affiliate.
هذا التعاقد التابع للعمل يتم إنشاؤه والتوقيع عليه في التاريخ المعتمد من قبل العميل ويتم بين BME، مالك نظام التذاكر للأحداث الموجود في event.thebmegroup.com، والفرد أو الكيان الذي يتقدم بطلب للمشاركة كعميل.
1. Purpose of Agreement
The purpose of this Agreement is to establish the terms and conditions under which the Affiliate will promote and sell tickets for events listed on the Company’s event ticketing system. The Affiliate will earn a commission on each successful ticket sale made through their unique affiliate link.
1. مقدمة التعاقد
هدف هذا التعاقد هو تحديد الشروط والأحكام التي سوف يتعامل عليها العميل لترويج وبيع التذاكر للأحداث المدرجة في نظام التذاكر للأحداث الخاص بالشركة. وسيحصل العميل على عمولة في كل عملية بيع تذكرة ناجحة تمت من خلال رابط العميل الفريد.
2. Term of Agreement
This Agreement shall commence on the date of acceptance by the Affiliate and shall continue until terminated by either party upon thirty (30) days written notice.
2. مدة التعاقد
سيبدأ هذا التعاقد في التاريخ الإعتماد من قبل العميل وسيستمر حتى يتم إلغاؤه من قبل أي من الطرفين بملاحظة نصية قانونية قبل ثلاثين (30) يومًا.
3. Commission
The Affiliate will earn a commission on all qualifying sales made through their unique tracking link or promo code. The commission percentage will vary from one event to another, and will be agreed upon before the start of the event. The commission will be paid to the Affiliate on the 20th of every month for all sales made in the previous month, by the agreed method from the information submitted by the Affiliate. The method of commission payment cannot be changed throughout the event period. Any sold ticket that is not sold through the system and not shown in the affiliate’s profile page will not count, as well as any pending or cancelled orders.
3. العمولة
سيحصل العميل على عمولة على كل المبيعات الشرعية التي تم إجراؤها من خلال رابط التتبع الفريد الخاص به أو الرمز الترويجي. يختلف نسبة العمولة من حدث إلى آخر، وسيتم الاتفاق عليها قبل بدء الحدث. سيتم دفع العمولة إلى العميل في الخامس والعشرين من كل شهر لكل المبيعات التي تم إجراؤها في الشهر السابق، بطريقة متفق عليها من المعلومات المقدمة من قبل العميل. لا يجوز تغيير طريقة دفع العمولة خلال فترة الحدث. ولا يحسب أي التذاكر المباعة التي لم يتم بيعها من خلال النظام ولا تظهر في صفحة العميل الشريك، بالإضافة إلى أي الطلبات المعلقة أو الملغاة.
4. Exclusions
Any sold ticket that is not sold through the system and not shown in the Affiliate’s profile page will not count towards the Affiliate’s commission, nor will any pending or cancelled orders.
4. الاستثناءات
لن يتم اعتبار أي تذكرة مباعة غير مباعة من خلال النظام ولا مدرجة في صفحة العميل الخاصة به في محاسبة العمولة للعميل، ولا أي طلبات معلقة أو ملغاة.
5. Termination
Either party may terminate this Agreement at any time, with or without cause, upon thirty (30) days written notice. Upon termination, the Affiliate will no longer have access to the Company’s event ticketing system and will no longer be eligible to earn commissions.
5. الإنهاء
يحق للشركة إنهاء هذا التعاقد في أي وقت ولأي سبب. ويحق للعميل إنهاء التعاقد في أي وقت بملاحظة نصية قانونية قبل ثلاثين (30) يومًا. وبعد إنهاء التعاقد فإن كل الروابط والمواد الترويجية المتعلقة بهذا التعاقد يجب إزالتها من المواقع الخاصة بالعميل. ويظل العميل مسؤولًا عن جميع العمليات التي تمت من خلال الرابط الخاص به حتى نهاية فترة التعاقد.
6. Governing Law
This Agreement shall be governed by the laws of the Egyptian Arabic Republic, and any legal action arising out of or in connection with this Agreement shall be brought in the courts of the Egyptian Arabic Republic.
6. الإنهاء
يحدد هذا التعاقد القوانين الجارية في الجمهورية العربية المصرية، وسيتم إحالة أي إجراء قانوني ناشئ عن هذا التعاقد أو مرتبط به إلى المحاكم الجارية في الجمهورية العربية المصرية.
7. Confidentiality
The Affiliate agrees to provide accurate and complete information in the registration form, including all personal and financial information required. The Affiliate acknowledges that all information provided will be kept confidential by BME and will only be used for the purpose of administering the Affiliate program and tracking commissions earned. BME agrees to keep all information provided by the Affiliate confidential and will not share or disclose it to any third parties except as required by law or with the Affiliates express consent.
The Affiliate agrees to keep confidential and not disclose to any third party any confidential information of the Company, including but not limited to business and marketing plans, customer and vendor lists, and financial information.
7. السرية
يوافق العميل علي تقديم معلومات صحيحة وكاملة في النموذج التسجيل، بما في ذلك جميع المعلومات الشخصية والمالية المطلوبة. يعترف النافذ بأن كل المعلومات التي يتم تقديمها ستظل محفوظة من قبل شركة BME وسيتم استخدامها فقط لغرض إدارة البرنامج النافذي وتتبع العوائد المكتسبة. يوافق شركة BME على الحفاظ على جميع المعلومات التي يقدمها النافذ في سرية ولن تشاركها أو تكشفها لأي طرف ثالث إلا كما هو مطلوب بالقانون أو مع موافقة العميل.
يوافق العميل على الحفاظ على السرية وعدم الكشف عن أي معلومات سرية لأي طرف ثالث للشركة، بما في ذلك ولكن لا يحصر إلى خطط الأعمال والتسويق، قوائم العملاء والموردين، والمعلومات المالية.
8. Indemnification
The Affiliate agrees to indemnify and hold the Company and its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the Affiliate’s breach of this Agreement, or the Affiliate’s violation of any rights of another.
8. التعويض
يلتزم العميل بتعويض الشركة وكل من يعمل لها من المسؤولية القانونية الناجمة عن نتائج العمليات التي تمت من خلال الرابط الخاص به. ويلتزم العميل بتعويض الشركة من كل المصاريف الناجمة عن الدعاوى القانونية التي يتعرض لها نتيجة للعمليات التي تمت من خلال الرابط الخاص به.
9. Force Majeure
No party shall be held legally liable for any non-compliance or delay in compliance with any obligations under this Agreement due to any external factor that can be identified as a natural consequence (for example, but not limited to, natural fires, earthquakes, storms, wars, labor strikes, regional wars, world wars, natural disasters, civil wars, political crises, economic crises, financial crises, foreign wars, global financial crises, global labor strikes). The Affiliate is not entitled to claim any monetary amounts due to non-compliance or delay in compliance by the Company as a result of the aforementioned consequences.
9. ظروف قهرية
لا يلزم أي طرف مسؤولية قانونية عن أي عدم الامتثال أو التأخير في الامتثال إلى أي من التزامات المتعلقة بهذا التعاقد نتيجة لأي ظرف خارجي يمكن تحديده كعواقب طبيعية (على سبيل المثال لا الحصر، الحرائق الطبيعية، الزلازل، العواصف الجوية، الحروب، الإضرابات العمالية، الحرب الإقليمية، الحرب العالمية، الكوارث الطبيعية، الحرب الداخلية، الأزمات السياسية، الأزمات الاقتصادية، الأزمات المالية، الحرب الخارجية، الأزمات المالية العالمية، الإضرابات العمالية العالمية). ولا يحق للعميل المطالبة بأي مبالغ مالية نتيجة لعدم الامتثال أو التأخير في الامتثال من قبل الشركة نتيجة لأي من العواقب السابقة.
10. Severability
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
10. الفصلية
إذا كان نص أي نقطة من هذا التعاقد غير قانوني أو غير قابل للتنفيذ، فلن يؤثر ذلك على صلاحية النقاط الأخرى من التعاقد. وسيتم استبدال النقطة الغير قانونية أو غير قابلة للتنفيذ بنقطة قانونية قابلة للتنفيذ قدر الإمكان وتتحقق من أن ذلك يعكس أفضل ما يمكن التوقع من التعاقد الأصلي.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written. This Agreement may not be amended or modified except in writing signed by both parties.
11. التعاقد الكامل
هذا التعاقد يمثل التعاقد الكامل بين الطرفين ويحتوي على كل الأحكام التي تتعلق بالموضوع المحدد فيه ويعتبر نسخة كاملة ومتكاملة وتجاهل كل ما قبل توقيع التعاقد. ولا يحق لأي طرف أن يعترف أنه قد تلقى أي تعليقات أو إقرارات خارجية عن التعاقد.
